The terms that govern our work together

By accessing, browsing, or using the Samesum website (samesum.com.hk), submitting an inquiry, or engaging any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms referenced herein. If you are entering into these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity.

Samesum provides custom software development, business process automation, systems integration, internal applications, and AI strategy services. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate written proposal, statement of work, or engagement agreement (the Engagement Agreement). In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement prevails.

You may use our website for lawful purposes only. In connection with your use of the website you agree that you will not:

• Use the site in any way that breaches applicable law or regulation, or infringes the rights of any third party;
• Attempt to gain unauthorized access to, interfere with, or disrupt the site, its servers, or any related systems;
• Introduce viruses, malware, or any other malicious code;
• Scrape, copy, or republish substantial portions of site content without our prior written consent;
• Use automated tools to extract data from the site in a manner that imposes an unreasonable load on our infrastructure.

All content on this website — including text, graphics, logos, designs, and software — is owned by Samesum or its licensors and is protected by intellectual property laws. Unless otherwise agreed in an Engagement Agreement:

• We retain ownership of all pre-existing materials, tools, frameworks, and methodologies we bring to an engagement;
• Custom deliverables created specifically for a client are assigned to the client upon full payment of all applicable fees, as set out in the Engagement Agreement;
• You may not reproduce, distribute, or create derivative works from site content without our written permission.

To enable us to deliver services effectively, clients agree to:

• Provide timely access to necessary systems, data, and personnel;
• Appoint a designated point of contact for the duration of the engagement;
• Ensure that all information provided is accurate and that they hold the rights to share it with us;
• Review deliverables promptly and provide feedback within agreed timeframes.

All quotes are valid for 30 days from the date of issue unless stated otherwise. Fees, payment schedules, and accepted methods are set out in the Engagement Agreement. Unless otherwise agreed:

• Invoices are payable within 14 days of the invoice date;
• Late payments may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower;
• Work may be paused on engagements with overdue invoices until payment is received.

We treat all non-public information shared by clients as confidential and use it solely for the purpose of delivering the agreed services. We do not disclose client confidential information to third parties except as required by law or as necessary to perform the engagement. Where a formal non-disclosure agreement is appropriate, it will be addressed in the Engagement Agreement.

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By engaging our services or using our website, you consent to the collection, use, and handling of personal data as described in that policy.

We provide our services with reasonable skill and care. To the fullest extent permitted by law, we make no representation or warranty that:

• Our website will be uninterrupted, error-free, or free of harmful components;
• Any particular result or outcome will be achieved from an engagement;
• Information on the site is complete, current, or applicable to your circumstances.

To the maximum extent permitted by law, Samesum shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with the use of our website or services. Our total aggregate liability for any claim is limited to the fees paid for the specific engagement giving rise to the claim, or where no fee was paid, to HK$1,000.

These Terms apply from your first use of our website or services and remain in effect until terminated. Either party may terminate an engagement in accordance with the terms of the Engagement Agreement. Upon termination:

• All outstanding fees for work performed up to the termination date become immediately payable;
• Each party must return or destroy the other's confidential information;
• Provisions intended to survive termination — including intellectual property, confidentiality, and limitation of liability — remain in effect.

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

We may update these Terms from time to time. The most current version will always be available on this page with the updated Last updated date. Your continued use of our website or services after a change constitutes acceptance of the revised Terms.
